Job Description: 

We are a developer, investor, and operator of power generation and desalinated water plants, with 90 assets in operation, construction, or advanced development across 13 countries.

1. JOB DETAILS:

Position: Contracts Manager

Division: Project Management

Department: Contract Management

Direct Supervisor: EMO and Project Director

2. JOB PURPOSE:

Lead the contract administration and commercial management of the Project, ensuring compliance with contractual obligations, effective management of EPC and other key project contracts, and protection of the Project Company's commercial and contractual interests.

3. KEY ACCOUNTABILITIES:

  • Leads and directs all contractual aspects of executing the project including risk assessment.
  • Be fully aware of Investment Agreement (IA), Power Purchase Agreement (PPA) , EPC Contract, O&M Agreement , LTSA, Connection Agreement (CA) , System Usage Agreement (SUA) , CTA, and various Project Agreements and manage the stakeholders effectively in line with the contracts.
  • Be effective in responding to the correspondences from various counter parties and ensure the interest of the Company is protected.
  • Actively monitors the project progress in line with the contract schedule and ensure the parties adhere to the program.
  • Interfaces with senior management team, finance and legal personnel to meet overall project deliverables.
  • Establishes procedures for award and administration of any Project contracts
  • Verifies the invoices of the contractors along with the Owner’s Engineer and process the payments.
  • Understand and prepare invoicing procedure for the Company and work together closely with the model consultant in finalizing the settlement system and plant model software.
  • Monitors and manages the Company’s various registration documents, certifications, construction permits, project related permits, NOCs and work actively to ensure timely renewals

Internal: EMO, Project Director, Development, Engineering, Construction, E&S, Land, Legal, Commercial, Finance, Project Controls and HSE teams.

External: MENR, EİGM, EÜAŞ, EMRA, TEİAŞ, TEDAŞ, municipalities, provincial directorates, Environmental and Urban Authorities, DSİ, Forestry Directorate, agricultural authorities, cadastral/land registry offices and other relevant governmental institutions.

5. GENERAL JOB DUTIES

 

Contract Administration

  • Manage the administration of  IA, PPA, CA, SUA, EPC Contract, O&M Agreement, LTSA, supply, consultancy and other key Project contracts.
  • Ensure compliance with contractual obligations, milestones, notices, deliverables, payment provisions and other requirements.
  • Maintain the contract register, key obligations tracker, notice register and contractual correspondence.
  • Ensure timely issuance and response to contractual notices and correspondence.

 

EPC Contract Management

  • Lead day-to-day contractual management of the EPC Contractor.
  • Monitor EPC Contractor compliance with scope, schedule, performance, quality, testing, commissioning and handover obligations.
  • Review and manage contractual submissions, including programmes, payment applications, variations, claims and completion documentation.
  • Coordinate with Engineering, Planning, Construction, Finance and other functions to assess contractual and commercial matters.

 

Variations & Change Management

  • Manage the Project Change / Variation Order (VO) process from initiation through approval and implementation.
  • Review the contractual entitlement, cost and schedule impact of proposed changes.
  • Maintain the change register and ensure changes are properly documented and approved before implementation.
  • Challenge unsupported or non-contractual changes proposed by contractors.

 

Claims & Dispute Management

  • Lead the assessment and management of contractor and Project Company claims, including EOT, prolongation costs, disruption, acceleration, variations, change in law and other contractual claims.
  • Review entitlement, causation, quantum and supporting evidence.
  • Coordinate with Planning, Engineering, Commercial and Legal teams for claim assessment and defence.
  • Support negotiation and settlement of claims and disputes and ensure escalation in accordance with the contract.

 

Payment & Commercial Management

  • Review payment applications against contractual milestones, deliverables and supporting documentation.
  • Coordinate with Finance and Project Controls on payment forecasts, commitments and cash flow.
  • Monitor contractual securities, including performance bonds, advance payment guarantees, retention and warranties.
  • Ensure payments are made only in accordance with contractual requirements and approved procedures.

 

Contractual Risk Management

  • Identify and monitor key contractual and commercial risks.
  • Maintain a Contract Risk and Obligations Register and recommend mitigation actions.
  • Monitor liability, indemnity, insurance, LDs, warranties, limitation of liability and other key contractual protections.
  • Ensure contractual risks are appropriately escalated to Project Management and Legal.

 

Project Interfaces

  • Coordinate contractual matters across Engineering, Planning & Controls, Procurement, Construction, Finance, Legal, E&S and HSE.
  • Manage contractual interfaces between EPC Contractor, Owner's Engineer, consultants, suppliers and other Project stakeholders.
  • Provide contractual advice to the Project Director and management on key decisions.

 

Procurement Strategy & Support

  • Lead the development of ACWA’s Procurement Strategy, aligning it with business objectives and operational needs.
  • Provide senior-level support for large procurement projects, including those involving in-sourcing, OJEU processes, or framework agreements.
  • Support the Head of Procurement and Procurement Officer in managing and advising on procurement activities across the organization.

Completion & Handover

  • Manage contractual requirements related to mechanical completion, commissioning, testing, performance tests, PAC, COD, punch-list closure and final completion.
  • Monitor outstanding contractual deliverables and obligations through project close-out.
  • Manage warranty obligations, defects liability and final account close-out.

 

Standards & Consistency

  • Define and set organizational standards for contract management practices.
  • Ensure appropriate consistency within and across contracts by supporting contract managers with guidance, templates, and review mechanisms.

 

Support & Training

  • Provide practical, timely advice to contract managers facing issues during contract execution.
  • Deliver training sessions and support tools to develop contract management capabilities across departments.
  • Mentor colleagues, particularly on contracts that span multiple business areas or geographies, to align approaches and outcomes.

 

Collaboration & Influence

  • Build positive, constructive relationships with peers and senior management to foster improved contract performance.
  • Support managers in recruiting for roles involving contract management, ensuring clarity of responsibilities and competencies required.

 

Knowledge Sharing

  • Establish and chair a contract management forum to share best practices and coordinate future procurement opportunities.
  • Organize regular meetings with relevant agendas, ensuring effective discussions and actionable outcomes.

 

Commercial & Legal Oversight

  • Ensure new statutory or regulatory provisions are correctly and consistently applied across contracts.
  • Maintain quality control over new contracts, ensuring uniformity of clauses and integration of external legal advice.
  • Support managers in evaluating commercial challenges and determining appropriate contractual solutions.

 

Contract Register Management

  • Oversee the maintenance of an accurate, up-to-date contract register that reflects all active, expired, and extended contracts.
  • Work with the Head of Procurement to ensure the register is effectively used to anticipate renewals, extensions, or transition to new models (e.g., in-sourcing).
  • Ensure access to the register for relevant staff to support planning and transparency.

 

Systems & Tools

  • Evaluate the need for contract management software; if needed, lead the sourcing and implementation process.
  • Ensure systems align with organizational workflows and enhance contract visibility and control.

 

Policies, Processes, Systems & Procedures

  • Implement approved departmental policies, processes, manuals and procedures, and ensure employee adherence so that work is carried out to the required standards.

Continuous Improvement

  • Manage and motivate the team to ensure they contribute to, and participate in, the identification and implementation of change initiatives, programmes, and projects in line with the organisation’s standards.

Related Assignments

  1. OCCUPATIONAL HEALTH AND SAFETY (OHS). FIRE SAFETY (FS).
  • Fulfills and comply with the requirements of HSE legislation, internal local acts (Policies, regulations, procedures, instructions, etc.) on HSE and FS of the Company.
  • Identifies HSE and FS hazards and reduce/eliminate them to an acceptable risk level.
  • Reports, investigates and promptly corrects hazardous HSE and FS related activities and conditions.
  • Maintains HSE and FS goals and objectives for continuous improvement of the HSE Management System.
  • Evaluates the effectiveness of the HSE Management System.
  • Manages the setting of HSE goals and objectives aimed at continuous improvement of the HSE Management System.

8.  RIGHTS:

  • To request and receive necessary materials and documents related to the issues of its activity.

9. ACCOUNTABILITIES:

The employee is responsible:

  • For improper and untimely performance or non-performance of his/her job duties stipulated by this job description - within the limits defined by the labor legislation of Turkiye.
  • For offenses committed in the course of his activity - within the limits defined by the current administrative, criminal and civil legislation of Turkiye.
  • For causing material damage - within the limits defined by the current labor and civil legislation of Turkiye.
  • For non-compliance with the current instructions, orders and instructions on preservation of commercial secrets and confidential information.
  • For failure to comply with internal regulations, safety and fire safety rules.
  • For failure to inform the Head about non-standard working conditions and non-compliance with the quality of products (in relation to the activities of the division, department).
  • In case of transfer to another job or dismissal from the position, he/she is responsible for proper and timely handing over the files to the person assuming the present position, and in case of absence of such a person, to the person replacing him/her or directly to his/her supervisor.

10. REQUIRED WORK EXPERIENCE AND EDUCATION:

Minimum Qualifications:

  • Degree in Law, Engineering, Business AND/OR Master’s degree in Law.
  • Skilled in standard office software (Word, Excel, Outlook, SharePoint, PowerPoint, etc.)
  • Excellent written and spoken English and Turkish.

 

Minimum Experience:

  • Minimum 10 Years of Experience working with large complex projects in Energy, Oil & Gas industry
  • Minimum 5 years of EPC contract management experience, preferably on the Owner/Employer side.
  • Professional Certification in Contracts Management
  • Strong knowledge of FIDIC or similar international EPC contracts
  • Proven experience managing EPC variations, claims, EOT, LDs, payment applications and disputes
  • Experience working with lenders, Owner's Engineers and independent technical advisers is an advantage.
  • Be able to dive into the details of non-contractual matters such as engineering, cost control, planning and construction in order to provide relevant contractual support
  • Team player, yet you are able to work independently and duly manage your workload and priorities.

11. REQUIRED SKILLS AND KNOWLEDGE:

  • Communication:

A Contract Manager must be able to communicate ideas effectively to the company, to the other parties involved in the contract and to stakeholders to keep everyone apprised of contract-related matters. A collaborative, solutions-oriented approach and strong communication skills.

Negotiation is essential for a Contract Manager, as it’s their job to get the most benefit to the company possible out of any contract considered.

  • Confidence:

A key aspect of successful contract management is confidence. It takes a strong attitude to successfully negotiate and execute contracts, as well as an understanding of when to walk away and when to stand one’s ground. Able to influence multi-functional teams and leaders, develop and maintain relationships across and between organizations.

 

  • Finance Skills:

In order to evaluate whether or not a contract is good for the company, a Contract Manager must have the necessary financial skills to determine exactly how the company would benefit.
